1. Acceptance of Terms
By accessing or using Scribely, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must immediately stop using Scribely.
2. Your Obligations
2.1 Content Responsibility
You are solely responsible for any content, files, text, images, data, or other materials (“Content”) that you upload, post, transmit, or otherwise make available through Scribely.
2.2 Intellectual Property Rights in Your Content
You represent and warrant that:
– You own or have all necessary licenses, rights, consents, and permissions to use and authorize Scribely to use your Content.
– Your Content does not infringe on any third-party rights, including intellectual property, privacy, or publicity rights.
2.3 Prohibited Content and Activities
You agree not to upload, post, or share any Content that is:
– Unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another’s privacy, hateful, or discriminatory;
– Intended to promote or incite violence or illegal activity;
– Containing viruses, malware, or other harmful software;
– Misleading, false, or fraudulent.
We reserve the right to remove any Content that we determine, at our sole discretion, violates these Terms.
3. Intellectual Property
3.1 Your Content
Scribely does not claim ownership over your Content. However, by uploading or posting Content to Scribely, you grant us a non-exclusive, royalty-free, worldwide, transferable, and sublicensable license to use, display, reproduce, adapt, publish, distribute, and store such Content in connection with operating and improving Scribely.
3.2 Scribely’s Intellectual Property
All materials, designs, trademarks, software, and content provided by Scribely (excluding your uploaded Content) are owned or licensed by Scribely and protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.
4. Limitation of Liability
To the maximum extent permitted by law, Scribely will not be liable for any:
– Indirect, incidental, consequential, special, punitive, or exemplary damages;
– Loss of profits, data, goodwill, or business opportunities;
– Damages resulting from your use or inability to use Scribely.
This limitation applies even if we have been advised of the possibility of such damages.
5. Indemnification
You agree to indemnify, defend, and hold harmless Scribely, its officers, employees, agents, and affiliates from and against all claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising from:
– Your use of Scribely;
– Your violation of these Terms;
– Your infringement of any intellectual property or other rights of any third party.
6. Amendments to These Terms
We may update or modify these Terms at any time, with or without prior notice. Any changes will be effective immediately upon posting on Scribely. Your continued use of the service after changes are posted will constitute your acceptance of the updated Terms.
7. Termination of Service
We reserve the right to suspend, restrict, or terminate your access to Scribely without notice if you violate these Terms or if we believe your use may cause harm to Scribely, its users, or third parties. Upon termination, all rights granted to you under these Terms will immediately cease.
8. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles. By using Scribely, you agree to submit to the exclusive jurisdiction of U.S. federal and state courts for any disputes or legal matters arising from or relating to your use of Scribely.
